Jodie Vasily-Cioffi brings over 25 years of legal and business experience to her clients at Outside GC, including 10 years as a senior in-house lawyer at a global leader in the life sciences industry. A Member of the Firm since 2014, Jodie is noted for her versatility, as well as her ability to provide both practical and strategic legal advice designed to drive forward business objectives while protecting key interests.

Jodie works with public and private companies in the biotech, pharma and medical device fields at various stages of product development. She works to understand her clients’ objectives to deliver clear value. Her current clients include Kiniksa Pharmaceuticals, Verastem, New England Biolabs,  PureTech Health PLC, and Follica.

In addition to counseling her clients, Jodie regularly handles a wide range of life science industry agreements, including the drafting and negotiation of:

  • Manufacturing and supply agreements (CMO)
  • Licensing agreements (patent, know-how and software)
  • Sponsored research agreements (SRA)
  • Clinical trial agreements (CTA, IITA)
  • Registry Agreements
  • Device design & development agreements

  • Material transfer agreements (MTA)
  • Engagement letters and Staffing agreements.

She also handles general corporate law issues such as board of director agreements, advisory board agreements, charter and bylaw issues, and board and shareholder votes and minutes.

Before joining Outside GC, Jodie served as Senior Corporate Counsel, Securities & Corporate Operations, and Assistant Secretary at Genzyme Corporation, a global $20B Fortune 500 life sciences company, where she oversaw securities and corporate governance compliance, managed capital raising transactions, and handled a diverse array of sophisticated contract negotiations and corporate disclosure issues. Jodie also supported the day-to-day legal needs of multiple internal client groups, and in her role as Assistant Secretary, drafted and implemented corporate-wide compliance policies.

After serving as a judicial clerk, Jodie began her career at Palmer & Dodge LLP in Boston, now known as Locke Lord LLP. Her firm practice focused on capital raising transactions for private and public companies, primarily in the life sciences sector, as well as securities compliance, and merger and acquisition transactions.

Jodie holds a J.D. from Northeastern University, a M.P.A. (Phi Alpha Alpha) from Suffolk University, and a B.S. in Management (With Distinction) from Babson College.

Jodie is Co-Founder of a literacy-based not-for-profit, Decoding Dyslexia-MA, which helps feed her personal passion for helping children with dyslexia achieve success and working on behalf of children with special needs.

Jodie was born and bred in the Boston area, where she and her husband are now raising their two daughters.
